Terms of Service

1. Acceptance of Terms
By accessing or using Forge4 ("the Service"), a product of HiFour Technologies ("the Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms apply to all visitors, users, and others who access or use the Service, including administrators, employees, and any individuals invited to the platform by an organization.
2. Description of Service
Forge4 is a cloud-based workforce management platform that provides time tracking, HR management, expense tracking, payroll processing, and financial management tools. The Service is delivered as a software-as-a-service (SaaS) product accessible via web browsers and mobile devices.
3. Account Terms
To use Forge4, you must create an organization account. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring that all users within your organization comply with these Terms
You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of your organization.
4. Pricing and Payment
Forge4 offers the following subscription plans:
- Professional Plan: $3 per active user per month. Includes all modules, up to 200 employees, standard cloud hosting, and email support.
- Enterprise Plan: $5 per active user per month. Includes dedicated hosting, full white-label branding, custom domain, 24/7 priority support, custom API integrations, and a dedicated account manager. Minimum 100 users.
Payment is billed monthly or annually in advance. All fees are non-refundable except as required by applicable law or as explicitly stated in a separate written agreement. We reserve the right to change pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Free Trial
We offer a 14-day free trial with full access to all modules. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. Trial accounts that are not converted to paid accounts may be suspended or deleted after 30 days.
6. Data Ownership and Privacy
You retain all ownership rights to the data you submit to the Service ("Your Data"). We do not claim any ownership over Your Data. By using the Service, you grant us a limited license to host, process, and display Your Data solely for the purpose of providing the Service.
- Your Data is stored in a multi-tenant architecture with complete data isolation between organizations
- We will not access Your Data except to provide the Service, resolve technical issues, or as required by law
- Upon termination of your account, you may request an export of Your Data within 30 days
- Our handling of personal data is governed by our Privacy Policy
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Upload or transmit malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service for any unlawful, fraudulent, or deceptive purpose
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell or redistribute access to the Service without written permission
- Use automated tools to scrape, mine, or extract data from the Service
8. Service Availability and SLA
We strive to maintain 99.9% uptime for the Service. The Professional plan includes a 99.9% uptime SLA. The Enterprise plan includes an enhanced SLA with service credits for downtime exceeding agreed thresholds. Scheduled maintenance windows will be communicated at least 48 hours in advance. We are not liable for downtime caused by factors outside our control, including internet outages, force majeure events, or third-party service failures.
9. Intellectual Property
The Service, including all software, designs, text, graphics, logos, and other content, is the intellectual property of HiFour Technologies and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
10. Termination
Either party may terminate this agreement:
- You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.
- We may suspend or terminate your access if you violate these Terms, fail to pay fees when due, or if we reasonably believe your use poses a security risk.
- Upon termination, you may request an export of Your Data within 30 days. After 30 days, we may delete Your Data.
11. Limitation of Liability
To the maximum extent permitted by applicable law, HiFour Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service. Our total aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
13. Indemnification
You agree to indemnify, defend, and hold harmless HiFour Technologies, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
16. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and HiFour Technologies regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
